Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and TradeYogi, a platform operated by GetDeaddicted LLC ("Company", "we", "us", or "our"), governing your access to and use of the TradeYogi website, mobile application, APIs, signals, educational content, and related services (collectively, the "Platform").

By registering an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Platform.

2. Eligibility

2.1. You must be at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872.

2.2. You must be a resident of India or, if accessing from outside India, you must ensure that your use of the Platform complies with the laws of your jurisdiction.

2.3. You must not be barred, restricted, or prohibited under the Securities and Exchange Board of India (SEBI) regulations or any other applicable law from accessing financial markets or educational financial content.

3. Nature of Services

3.1. TradeYogi is a technology platform that provides educational content, market analysis, algorithmic strategy simulations, historical back-tests, paper-trading, and AI-generated trading signals for informational and educational purposes only.

3.2. TradeYogi is NOT a SEBI-registered investment advisor, research analyst, portfolio manager, or stock broker. The Platform does not offer personalized investment advice, portfolio management, or solicitation to buy, sell, or hold any security, derivative, cryptocurrency, commodity, or financial instrument.

3.3. Any strategy, signal, back-test, or recommendation displayed on the Platform is the result of automated algorithms, technical analysis, artificial intelligence, and/or Vedic astrological computations, and must be treated strictly as educational material.

4. Account Registration and Security

4.1. You agree to provide accurate, current, and complete information during registration and to keep such information updated.

4.2. You are solely responsible for safeguarding your account credentials, API keys, broker tokens, and two-factor authentication devices. You must notify us immediately at support@tradeyogi.in of any unauthorized use.

4.3. You may not share your account, transfer it, or permit any third party to access it.

5. Subscription and Payments

5.1. Access to certain features of the Platform requires a paid subscription. Fees, billing cycles, and plan features are displayed on our pricing page and are subject to change upon reasonable notice.

5.2. All payments are processed through PCI-DSS compliant payment gateways. Applicable taxes including GST will be charged as per Indian tax laws.

5.3. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing cycle. Refunds are governed by our Refund Policy.

6. User Obligations and Acceptable Use

You agree that you shall NOT:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose;
• Reverse engineer, decompile, scrape, or copy any portion of the Platform or its algorithms;
• Resell, redistribute, or publicly broadcast signals, research, or content generated by the Platform;
• Misuse broker API connections or violate the terms of any third-party broker;
• Upload malicious code, attempt to breach security, or interfere with the Platform's functioning;
• Impersonate any person or entity or misrepresent your affiliation;
• Use the Platform in violation of SEBI regulations, PMLA, FEMA, IT Act, 2000, or any other applicable Indian law.

7. Intellectual Property

7.1. All content, software, code, trademarks, logos, strategies, machine learning models, back-test results, and documentation on the Platform are the exclusive property of the Company or its licensors and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable laws.

7.2. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use.

8. Third-Party Services

The Platform integrates with third-party services including but not limited to stock brokers (Angel One, Zerodha, Upstox), payment gateways, market data vendors, and AI model providers. We are not responsible for the availability, accuracy, or conduct of such third-party services. Your use of third-party services is governed by their respective terms and conditions.

9. Risk Disclosure and No Investment Advice

9.1. Trading in stocks, futures, options, currencies, commodities, and cryptocurrencies involves substantial risk of loss and is not suitable for every investor. You may lose your entire invested capital and, in some cases, more than your initial investment.

9.2. Past performance, back-tested results, and hypothetical returns are not indicative of future results. Please refer to our dedicated Disclaimer page.

10. Limitation of Liability

10.1. To the maximum extent permitted under Indian law, the Company, its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages including but not limited to loss of profits, trading losses, loss of data, goodwill, or opportunity, arising from your use of or inability to use the Platform.

10.2. In no event shall our aggregate liability exceed the amount actually paid by you to the Company in the three (3) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your use of the Platform, your breach of these Terms, or your violation of any law or third-party right.

12. Termination

12.1. We may suspend or terminate your account at any time, without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to other users or the Platform.

12.2. You may terminate your account at any time by writing to support@tradeyogi.in. Termination does not entitle you to a refund except as provided in the Refund Policy.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or in-app notice at least seven (7) days before taking effect. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

14.1. These Terms shall be governed by and construed in accordance with the laws of India.

14.2. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India.

14.3. Before initiating any legal proceeding, the parties agree to attempt amicable resolution through mediation for a period of thirty (30) days.

16. Miscellaneous

16.1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.2. These Terms, together with the Privacy Policy, Disclaimer, and Refund Policy, constitute the entire agreement between you and the Company regarding the Platform.

16.3. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
